1. Acceptance of Terms

By creating an account or using the Elo service ("the Service"), operated by Elobiz (elobiz.app), you agree to these Terms & Conditions ("Terms"). If you do not agree, you may not use the Service. These Terms apply to all users, including businesses and individuals.

2. Description of Service

Elo provides AI-powered business automation tools for WhatsApp, including automated sales agents, customer support agents, operations management, and related features. The Service is provided on a subscription basis with plans as described on our pricing page.

3. Accounts and Registration

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must be at least 18 years old or the legal age of majority in your jurisdiction to create an account.
  • One account per business entity. You may not create multiple accounts to circumvent restrictions or trial limits.
  • You are responsible for all activity that occurs under your account.

4. Subscriptions and Payments

  • Subscriptions are billed on a monthly or annual basis depending on your selected plan.
  • A free trial period may be offered. After the trial, a paid subscription is required to continue using the Service.
  • All payments are processed by third-party payment providers (Stripe, e-Kwanza, Flutterwave, Mercado Pago). We do not store full card details.
  • Prices are displayed in your local currency where available and may vary by region.
  • Subscriptions auto-renew unless cancelled before the next billing date.
  • Refunds are not provided for partial subscription periods, except where required by applicable consumer protection law.

5. Acceptable Use

You agree not to use the Service to:

  • Send spam, unsolicited messages, or any communication that violates WhatsApp's policies or applicable anti-spam laws.
  • Engage in fraudulent, misleading, or deceptive conduct towards customers.
  • Transmit illegal content, including content that infringes intellectual property rights.
  • Attempt to reverse-engineer, scrape, or exploit the Service or its underlying AI models.
  • Use the Service for any purpose that violates applicable laws or regulations.

We reserve the right to suspend or terminate accounts that violate this policy.

6. AI-Generated Content

The Service uses AI models to generate responses and content on your behalf. You acknowledge that:

  • AI-generated content may occasionally be inaccurate or incomplete.
  • You are responsible for reviewing and validating AI-generated content sent to your customers.
  • We are not liable for any loss or damage caused by reliance on AI-generated content.
  • You retain ownership of content you input into the Service. You grant us a limited licence to process that content solely to provide the Service.

7. Integrations and Third-Party Services

The Service integrates with third-party platforms including WhatsApp, Shopify, WooCommerce, HubSpot, and payment providers. We are not responsible for the availability, accuracy, or policies of these third-party services. Changes to their APIs or policies may affect Service functionality.

8. Intellectual Property

All software, design, trademarks, and content constituting the Elo service are the exclusive property of Elobiz. You may not copy, reproduce, or redistribute any part of the Service without our express written consent.

9. Limitation of Liability

To the maximum extent permitted by law, Elobiz shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including loss of revenue, data, or customers. Our aggregate liability to you shall not exceed the amount paid by you in the twelve months preceding the claim.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, or unforeseen events may affect service availability. We will endeavour to provide advance notice of planned downtime where possible.

11. Termination

You may cancel your account at any time via your account settings. We may suspend or terminate your account if you breach these Terms, with or without prior notice depending on the severity of the breach. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We reserve the right to update these Terms at any time. We will provide reasonable notice of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Angola, without regard to conflict of law principles. Any disputes shall be resolved through good-faith negotiation, or if unresolved, through the competent courts of Luanda, Angola.
